The programme for this 3-hour online workshop will be as follows:

1: Key issues of ICC Model Contracts and how to use them:

- What is their aim
- How to choose the right one
- How to use them

2: ICC Model Contract - International Sale

- Scope and presentation
- How to use the model contract: specific and general conditions
- Limitations of liability for breach
- Governing law and dispute settlement

3: Obligations of seller and buyer under an international contract of sale(CISG):

- Delivery of the goods/ Taking delivery
- Delivery of documents
- Conformity of the goods/inspections
- Payment of price

There will be lots of practical examples shared throughout the workshop to enhance your understanding of key topics.

Workshop objectives

The aim of this 3-hour online workshop is to provide participants with:

1. A clear understanding of the mechanics of a cross-border contract and methods of mitigating risks and optimising profit.

2. An understanding of how to draft well balanced international contracts of sales.

3. Some useful tips for using ICC Model Contract of Sale, either as a complete contract, or as a balanced model of general conditions of sale/purchase which can be used together with a Proforma invoice/purchase order.

4. Practical knowledge of the main obligations of the seller and the buyer under an international contract of sale, as resulting from the CISG.

ICC model contracts are designed to cater to a wide range of professionals involved in international business transactions. However, this workshop will be particularly helpful for:

Businesses: ICC model contracts are primarily aimed at companies and organisations engaged in international trade and commerce. This includes small, medium, and large enterprises across various sectors, such as manufacturing, services, finance, and more. It will provide most value to SMEs who may not have in-house lawyers, but need support when drafting and negotiating contracts.

Legal Professionals: These contracts provide a standardised framework that helps lawyers draft agreements efficiently and ensure legal compliance.

Each 3-hour online workshop has a maximum 25 seats available.

About the trainer

The trainer for this workshop is Valle García de Novales, a Commercial Lawyer with over 30 years dealing with cross border transactions:

  • Founding Partner and Director of Garcia de Novales law firm 
  • Vice Chair of the International Chamber of Commerce (ICC) Commission on Commercial Law and Practices.
  • President of the Commission on Commercial Law and Practices at ICC Spain.
  • Appointed representative of ICC Spain to report to ICC Drafting Group on Incoterms® 2020.
  • Member of ICC Spain Group of Experts on Incoterms Rules.
  • Lecturer on International Contracting: University of Zaragoza (Master´s Degree in International Business Management); ESIC (Master in International Trade Business); National Committees of ICC in Spain, Croatia, Albania, Bulgaria and North Macedonia.
